General Terms and Conditions for Delegates

DEFINITIONS

Delegate means the delegate(s) named in the Order to whom the Services are delivered at the Venue.
MD4 means MD4 (Medical Skills & Training) Limited and being the facilitator for the provision of the Services.
Order shall mean an order for the Service for the Delegate be the order be placed by the Delegate or a third party
Services means the provision of medical skills and training packages and/or consultancy being the subject of an Order
Speakers means the speakers provided in part or in whole in the provision of Services
Sponsor means any advertiser or provider of direct or indirect financial support to MD4 for the provision of the Services
Venue means the independent third party facilities at which the Services will be provided.

General These terms and conditions apply to the provision of the Services and supersede any and all other terms and conditions whether in writing or otherwise.
2.

Venue Although MD4 takes all reasonable commercial step to ensure that the venue is fit for purpose the Delegate accepts that that the Venue and any and all accommodations, beverages and food are provided by an independent third party and that MD4 accepts no responsibility for the quality or conditions of the Venue.

Cancellation/ Postponement MD4 reserves the right to cancel and/or postpone and/or change the Venue in the event that 1) the number of Delegates falls below the minimum number of Delegates required to effectively deliver the Services 2) the Venue owners fail to supply necessary facilities to conduct the Services and such failure is beyond the control of MD4.  In such events the Delegate will be offered a full refund or the option of attending the Services on a alternative generally published date. MD4 at all times reserves the right to change the Venue from the original Venue.

Variation of Services  MD4 reserves the right to change the content of the Services in the event of changes of legislation, the inability of Speakers for any bona fide reason not to be able to attend the for the provision of Services or other intervening events beyond its power and control

 Intellectual property
 Copyright
Delegate may not, whether directly or indirectly post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights or otherwise have a valid basis under the law, including "fair use" including Services documentation provided by MD4 and/or Speakers.
Copyright infringement -  MD4 takes all reasonable steps necessary to avoid  breach of any third party intellectual property and consistent with this policy and without limiting the foregoing, if you believe (as a protected author and or owner or Delegate) that your or others work has been copied and used in the Services in a way that constitutes copyright infringement, please provide MD4 (attention of Copyright Manager) with information consistent with the Digital Millennium Copyright Act (DMCA) being: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the MD4 site including the URLs of web pages and/or hyperlinks; your address, telephone number, and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. MD4's Copyright Agent for Notice of claims of copyright infringement can be reached at Spectrum House, Dunstable Road, Redbourn, St. Albans, Hertfordshire AL3 7PR

PaymentThe Services must be paid in full prior to attending the Services.  All Services are subject to VAT.
7.

Sponsors The Sponsors are independent of the provision of the Services and MD4 provides Services in accordance with clause 8 below.

Speakers Delegate accepts and understands that MD4 is a facilitator of the Services and that the  Speakers are independent of does not warrant or represent that the accuracy or efficacy of the Speaker presentation or the contents of any notes or documents that may be presented during the provision of the Services.

Disclaimer MD4, including its directors, agents, subsidiaries and employees is not responsible for any incorrect or inaccurate content posted on the site or provided in connection with the Services, whether provided neither by Speakers or Sponsors, nor for the conduct of any Delegate whether online or offline. MD4 assumes no responsibility for any error, omission, interruption, deletion, and defect, delay in providing materials or of the act’s or omissions of the Sponsors.  The site and the Service are provided "AS-IS" and MD4 expressly disclaims any warranty of fitness for a particular purpose or non-infringement. MD4 cannot guarantee and does not promise any specific results from use of the site and/or the provision of the Services.

Limitation of Liability MD4 accepts (within the limits imposed by Law) no claim for subsequent or consequential losses whether direct, indirect or exemplary or incidental special or punitive damages including loss of profits from the use of the .You further agree to hold MD4, including its officers, directors, agents, subsidiaries and employees harmless for claims arising in the event that other user’s profile ultimately proves to be offensive, harmful, inaccurate and/or deceptive. Notwithstanding anything to the contrary contained herein, MD4's liability to the Delgate for any causes whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by the Delegate.

Indemnity Delegate agree to indemnify and hold MD4, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of these Terms of Use and/or any breach of your representations and warranties set forth above. Delegate remains at all time responsible for complying with it professional, regulatory and/or compliance representative and qualification and standards body (the Body) and shall hold and render MD4 harmless from the Body rules of conduct and practice and regulatory standards.
12.
Rights of third parties the Contracts (Rights of third parties) Act 1999 is excluded.
13.

Law this contract and the provision of Services are provided in accordance with the Laws of England and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
